Clear Terms for Using the Vessel Website

These terms govern your access to and use of the Vessel Digital Marketing website, including its content, forms, resources, and other features. They also explain important limitations, responsibilities, and intellectual-property protections. These website terms do not replace any proposal, order form, or Master Services Agreement governing paid services.

1. Acceptance of These Terms

These Terms of Use ("Terms") are an agreement between you and Vessel Digital LLC, doing business as Vessel Digital Marketing ("Vessel," "we," "us," or "our"). By accessing or using www.vesseldm.com or another Vessel webpage that links to these Terms (collectively, the "Website"), you agree to these Terms and our Privacy Policy.


If you do not agree, do not use the Website. If you use the Website on behalf of a company or organization, you represent that you are authorized to accept these Terms on its behalf.


2. Website Information and Client Services

The Website provides general information about Vessel, our capabilities, our approach, and examples of work or results. Website content is not an offer to provide services on any particular terms.


Paid services are governed by the proposal, quote, order, Master Service Agreement, statement of work, or other agreement applicable to the engagement (a "Services Agreement"). If these Terms conflict with a Services Agreement, the Services Agreement controls with respect to the paid services.


Submitting a form, requesting a meeting, or communicating with Vessel does not create a client relationship or require either party to proceed with a project.


3. Permitted Use

You may use the Website for lawful, personal, and internal business purposes. Subject to these Terms, Vessel grants you a limited, revocable, nonexclusive, nontransferable license to access and use the Website and to download or print reasonable portions of its public content for your own informational use.


4. Prohibited Conduct

You may not:

  • Use the Website in violation of law or the rights of another person.
  • Attempt to gain unauthorized access to the Website, its systems, accounts, or data.
  • Introduce malware, harmful code, automated attacks, or excessive traffic.
  • Scrape, crawl, harvest, or extract Website content or data through automated means except as permitted by law or by our written consent.
  • Copy, reproduce, modify, distribute, sell, sublicense, or commercially exploit Website content except as expressly permitted.
  • Remove copyright, trademark, attribution, or other proprietary notices.

  • Use Website content, including case studies or creative work, to suggest Vessel endorses you or your business without written permission.


5. Intellectual Property

The Website and its content—including text, design, layout, graphics, logos, icons, videos, software, and other materials—are owned by Vessel or used with permission and are protected by intellectual-property laws. Vessel Digital Marketing and associated names, logos, and branding may not be used without prior written permission.


Client names, trademarks, project materials, and third-party content remain the property of their respective owners. Displaying them on the Website does not transfer ownership or imply an endorsement beyond the context in which they appear.


No rights are granted except those expressly stated in these Terms.


6. Information You Submit

You retain ownership of information and materials you submit through the Website. You grant Vessel permission to use, reproduce, and share those materials as reasonably necessary to respond to you, evaluate a potential engagement, operate the Website, protect our rights, and provide requested services.


You represent that you have the right to submit the information and that doing so does not violate another person's rights or any law. Do not submit confidential, proprietary, regulated, or highly sensitive information through a public form unless Vessel has specifically instructed you to do so through an approved method.


If you voluntarily provide suggestions or feedback about the Website or our services, Vessel may use that feedback without restriction or compensation, provided we do not publicly identify you without permission.


7. Case Studies, Results, and Marketing Information

Case studies, performance figures, testimonials, and examples describe particular projects or historical circumstances. They may be anonymized, aggregated, or rounded for confidentiality and readability. They do not promise or guarantee that another client will achieve the same or similar result.


Marketing performance depends on many factors outside Vessel's control, including the offer, pricing, competition, market conditions, budget, sales process, platform policies, data quality, client participation, and timing. Search rankings, advertising performance, audience growth, leads, revenue, and other outcomes are not guaranteed.


8. Third-Party Websites and Services

The Website may link to or use third-party websites, platforms, applications, embeds, and services. Vessel does not control and is not responsible for their content, availability, security, terms, or privacy practices. Your use of a third-party service is governed by that provider's terms and policies.


References to third-party products, services, or companies do not necessarily imply endorsement.


9. Informational Content; No Professional Advice

Website content is provided for general informational purposes. It is not legal, financial, accounting, medical, or other regulated professional advice. You are responsible for evaluating the information and consulting an appropriate professional when needed.


10. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided "as is" and "as available." Vessel disclaims all express and implied warranties, including warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and availability.


We do not warrant that the Website will always be complete, current, accurate, secure, uninterrupted, or free of errors or harmful components. Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.


11. Limitation of Liability

To the fullest extent permitted by law, Vessel and its owners, officers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits, revenue, business opportunity, goodwill, or data; or damages arising from your inability to access or use the Website.


To the fullest extent permitted by law, Vessel's total liability for all claims arising solely from your use of the public Website will not exceed one hundred dollars ($100). Limitations applying to paid services are governed by the applicable Services Agreement.


Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.


12. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless Vessel and its owners, officers, employees, contractors, affiliates, and agents from claims, losses, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your unlawful use of the Website, your violation of these Terms, or information or materials you submit through the Website. This obligation does not apply to the extent a claim is caused by Vessel's own unlawful conduct.


13. Suspension or Termination of Access

Vessel may restrict or terminate access to the Website when reasonably necessary to protect the Website, Vessel, our clients, other users, or third parties; to respond to suspected unlawful or abusive activity; or to address a violation of these Terms. Provisions that by their nature should survive termination will remain in effect.


14. Governing Law and Disputes

These Terms and disputes arising solely from use of the public Website are governed by the laws of the State of New York, without regard to conflict-of-law rules. Subject to applicable law, the state and federal courts serving Monroe County, New York will have exclusive jurisdiction over those disputes, and you consent to their jurisdiction.


Disputes concerning paid services are governed by the dispute-resolution provisions in the applicable Services Agreement, including any arbitration requirement stated there.


15. Changes to the Website or These Terms

We may change or discontinue any part of the Website and may update these Terms from time to time. The revised Terms will be posted on this page with an updated date. Changes apply prospectively when posted unless a later date is stated. Your continued use of the Website after an update constitutes acceptance of the revised Terms.


16. General Provisions

If a provision of these Terms is found unenforceable, it will be modified only to the extent necessary to make it enforceable, and the remaining provisions will remain in effect. Vessel's failure to enforce a provision is not a waiver. You may not assign your rights under these Terms without Vessel's written consent. These Terms, together with the Privacy Policy, constitute the entire agreement concerning use of the public Website, but not paid services.
